Terms of Service

These Terms of Service ("Terms") govern your access to and use of bluethread.io and the related products and services offered by Bluethread LLC ("Bluethread," "we," "us," or "our"), including the Bluethread Workspace, Operator Hub, Bluethread Collective, PE Intel, Activate, and any associated advisory services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 16 years old and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, in which case "you" includes that organization.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at rob@bluethread.io of any unauthorized access.

2. Subscriptions, Billing, and Trials

Plans. Some Services are offered on a paid subscription basis (for example, Bluethread Workspace and PE Intel). Pricing, features, and billing cycles are described at the point of purchase.

Payment. Subscription fees are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel.

Auto-renewal. Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before renewal. You can cancel at any time from your account settings or by emailing rob@bluethread.io. Cancellation takes effect at the end of the current billing period.

Free trials. We may offer free trials. Unless you cancel before the trial ends, you will be automatically charged for the applicable subscription.

Refunds. Except where required by law, fees are non-refundable. We may, at our discretion, issue prorated refunds for service outages or other extraordinary circumstances.

Taxes. Fees do not include taxes. You are responsible for any sales, use, VAT, or similar taxes associated with your subscription, except taxes based on our net income.

3. Advisory and Professional Services

Engagements for advisory, consulting, or implementation services are governed by these Terms together with any separate statement of work or order form executed between you and Bluethread. In the event of a conflict, the statement of work controls for that engagement.

Bluethread engages a vetted network of independent partner operators to deliver certain advisory and implementation services. All operators are bound by confidentiality and service standards consistent with these Terms.

4. Acceptable Use

You agree not to:

• Use the Services in violation of any law, regulation, or third-party right
• Reverse engineer, decompile, or attempt to extract source code from the Services
• Scrape, crawl, or harvest data from the Services except as expressly permitted
• Resell, sublicense, or commercially redistribute the Services or their output without our written consent
• Upload malware, attempt to disrupt the Services, or bypass authentication or rate limits
• Use the Services to send spam, harass others, or post unlawful, defamatory, or infringing content
• Use the Services to train competing AI or analytics models without our written consent

We may suspend or terminate access for any violation of this section.

5. Your Content

You retain ownership of any content, data, or materials you submit to the Services ("Customer Content"). You grant Bluethread a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and process Customer Content solely as needed to provide and improve the Services.

You represent that you have the rights necessary to grant this license and that your Customer Content does not violate any law or third-party right.

6. AI-Generated Output

Portions of the Services use generative AI to produce drafts, recommendations, briefs, and similar output ("AI Output"). AI Output may be inaccurate, incomplete, or unsuitable for your specific situation. You are responsible for reviewing AI Output before relying on or distributing it. To the maximum extent permitted by law, AI Output is provided "as is" with no representation or warranty regarding accuracy or fitness for purpose.

7. Intellectual Property

The Services, including all software, designs, methodologies (such as the BlueThread Bridge Framework and Power of Three), text, graphics, and trademarks, are owned by Bluethread or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. No other rights are granted by implication.

8. Feedback

If you submit suggestions, ideas, or feedback about the Services, you grant Bluethread a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

9. Third-Party Services

The Services integrate with third-party platforms (including Stripe, Supabase, Google, HubSpot, Circle, and others). Your use of those platforms is subject to their own terms and privacy policies. Bluethread is not responsible for third-party services and disclaims liability for their performance.

10. The Bluethread Collective

The Bluethread Collective community is hosted on Circle and governed by additional community guidelines posted there. You are responsible for the content you post in the Collective. We may remove content or suspend members who violate these Terms or the community guidelines.

11. Termination

You may stop using the Services at any time and cancel paid subscriptions from your account settings. We may suspend or terminate your access if you violate these Terms, fail to pay fees when due, or if we discontinue the Services. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and governing law) will survive.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BLUETHREAD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT, RECOMMENDATIONS, OR MARKET INTELLIGENCE WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUETHREAD AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO BLUETHREAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to defend, indemnify, and hold harmless Bluethread and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Services, or your Customer Content.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

16. Changes to the Services or Terms

We may modify the Services or these Terms at any time. If we make material changes to the Terms, we will notify you by email or through the Services. Continued use after the effective date of the changes constitutes acceptance. The "Last Updated" date above reflects the most recent revision.

17. Miscellaneous

These Terms, together with the Privacy Policy and any applicable order form or statement of work, are the entire agreement between you and Bluethread regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
